The Board of the Capital Market Authority has approved new regulatory provisions to improve initial public offering practices in the Saudi market. These provisions include requiring companies wishing to go public to disclose their future expectations for financial performance, tightening the financial solvency requirements for investors participating in building the order book, and enhancing the responsibilities of underwriters, with the provisions to take effect from the date of their publication.
The new provisions require issuing companies to disclose in the prospectus and registration document their financial expectations for the period following the last financial period listed in the prospectus, in addition to at least the following financial year. These expectations must be clear and not misleading, based on reasonable and measurable foundations, and the financial advisor is required to exercise the necessary professional diligence when reviewing them.
The Authority emphasized the necessity for participation requests in building the order book to reflect the actual liquidity available to investors, limiting the proof of financial solvency to cash or near cash, and requiring participating entities to pay the value of their requests by no later than the final subscription deadline specified in the prospectus, aiming to reduce requests that are not based on actual payment capability.
The provisions included requiring the underwriter to sign the underwriting agreement and have it in effect before starting to build the order book, with their obligation to purchase all offered shares becoming effective upon the commencement of the process. If their ownership of the shares leads to a breach of listing requirements, the company’s shares will not be listed, with the underwriter obligated to purchase all offered shares.
The Authority confirmed that the new regulations aim to enhance the efficiency of initial public offerings, strengthen discipline and transparency, increase the reliability of information available to investors, and improve the attractiveness of the Saudi financial market, noting that the project was presented for public consultation on September 22 last, for a period of 30 days, before the final provisions were approved.
